1. Agreement to Terms

By accessing or using vaonor.com and our services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services. Vaonor reserves the right to update these terms at any time.

2. Services

Vaonor provides AI consulting, business automation, custom software development, chatbot development, computer vision solutions, and related technology services. The specific scope, deliverables, timelines, and pricing for each project are defined in individual service agreements or statements of work.

3. Intellectual Property

All content on vaonor.com, including text, graphics, logos, code, and design elements, is the property of Vaonor and is protected by intellectual property laws. For client projects, intellectual property ownership is defined in the respective service agreement. Unless otherwise specified, clients receive full ownership of custom-built deliverables upon final payment.

4. Client Obligations

• Provide accurate and complete project requirements
• Provide timely feedback and approvals during the project lifecycle
• Ensure all data and materials shared with Vaonor are legally owned or properly licensed
• Make payments according to the agreed schedule

5. Payment Terms

Payment terms, including pricing, milestones, and schedules, are outlined in individual project agreements. Unless otherwise agreed, invoices are payable within 15 days of issuance. Late payments may incur additional charges as specified in the service agreement.

6. Confidentiality

Both parties agree to keep confidential all proprietary information, business data, technical details, and trade secrets disclosed during the engagement. This obligation survives the termination of any agreement.

7. Limitation of Liability

Vaonor shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the use of our services. Our total liability for any claim shall not exceed the total amount paid by the client for the specific service giving rise to the claim.

8. Warranties

We warrant that our services will be performed in a professional and workmanlike manner. We provide a 30-day warranty period after project delivery for bug fixes related to the delivered scope. This warranty does not cover issues arising from third-party services, client modifications, or changes in external APIs.

9. Termination

Either party may terminate a service agreement with 30 days written notice. Upon termination, the client is responsible for payment of all work completed up to the termination date. Vaonor will deliver all completed work and materials upon receipt of final payment.

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Nagercoil, Kanyakumari District, Tamil Nadu, India.
